About the Investigation

Beta Bionics, Inc. is a commercial-stage medical device company that manufactures the iLet Bionic Pancreas (“iLet”), an automated insulin pump for diabetes patients. The device is marketed as fully autonomous, setting 100% of insulin doses without manual input from the user. Our investigation concerns whether the Company misled investors about the safety, efficacy, and commercial success of the iLet, the Company’s sole commercialized product.

Alleged concealed information. A recently filed complaint alleges that Beta Bionics received an FDA Form 483 in June 2025. A Form 483 is a written notice the FDA issues to a company after an inspection, listing conditions or practices that an FDA investigator believes may violate the Food, Drug, and Cosmetic Act or related regulations. Here, the Form 483 allegedly identified more than 18,000 unreported customer complaints among fewer than 30,000 iLet users, including reports the FDA characterized as life-threatening.

According to the complaint, when the Company disclosed the existences of the Form 483 months later, Beta Bionics’ executives downplayed the issues, telling investors that the FDA’s concerns reflected only a minor difference in how the Company defined a “reportable complaint,” and that the underlying events were benign and required no medical intervention. As alleged, the Company and top executives continued to minimize these concerns through early 2026, including by suggesting that “medical intervention” could mean something as minor as giving a patient candy, even as the FDA’s eventual warning letter identified serious safety and quality-system violations.

In truth, as alleged, the FDA’s findings extended to the Company’s quality management system, its investigation and correction of known device malfunctions, and the risk analysis for the device itself, and the events the Company had failed to report included serious injuries. As the truth emerged, the price of Beta Bionics common stock declined and investors suffered losses.

Stock price decline. Beta Bionics’ stock price declined in a series of drops between in early 2026. First, on January 8, 2026, the Company reported an unexpected miss on new iLet patient starts, and the stock dropped 37% the next day, from $31.99 to $20.14 per share. As alleged, investors connected this miss to prior reports raising concerns about the iLet device. Then, on January 30, 2026, Beta Bionics disclosed in an SEC Form 8-K that it had received an FDA warning letter tied to the prior Form 483; the stock fell further, from $14.79 to $13.83 per share. On February 24, 2026, the FDA publicly released the detailed warning letter, leading to further losses for investors.

A lawsuit has been filed in the Central District of California, and investors interested in moving for appointment as lead plaintiff may do so by November 3, 2026.
